Vertice Society — 会則および会員規約

第1条　名称および目的

  1. 本組織の名称は Vertice Society（ヴァーティス・ソサエティ） とする。
  2. 本ソサエティは、以下を目的とする完全招待制組織である。
  • 日本を代表する専門家・リーダーの国際コミュニケーション能力の向上。
  • 研究・教育・メンタリングを通じたバイリンガル能力の育成。
  • 知性・品格・国際的リーダーシップの継承と発展。
  1. ソサエティのモットーは、**「Veritas per Linguam（言葉を通じて真実を）」**である。

第2条　会員資格

  1. 入会資格
  • 会員は完全招待制または紹介制によってのみ選ばれる。
  • 以下のいずれかの条件を満たす者とする。
    a. 以下に示す国内外の最難関大学の卒業生または在籍者：
  • 東京大学
  • 京都大学
  • 慶應義塾大学
  • 早稲田大学
  • Harvard University, Oxford University その他世界的名門大学
    b. 専門分野において顕著な業績を有する者（経営者、医師、学者、芸術家、アスリート、伝統企業の後継者など）
    c. 教育、文化、社会貢献、またはビジネス界において卓越した貢献を行った者。
  1. 推薦および承認
  • 候補者は現会員による推薦を必要とする。
  • 各会員は年間2名までの推薦が可能。
  • 全ての推薦は入会審査委員会による審査を経て、理事会の承認をもって決定する。
  1. 会員区分
  • 正会員：すべての入会基準を満たした者。
  • 名誉会員：理事会の承認を受けた特別な功績者。
  • 準会員：Scott Perry Academy の在籍者など、審査中のメンバー。
  1. 会費
  • 年会費：100,000円（税込）
  • 支払いは月額または四半期ごとに分割することも可能。
  • 会費はプログラム運営・イベント開催・事務管理に充当される。

第3条　運営体制

  1. 理事会（Board of Advisors）
  • ソサエティは7～9名の理事によって構成される理事会によって運営される。
  • 理事会は戦略方針、会員基準、倫理・行動規範の監督を行う。
  1. 会長（Chairperson）
  • ソサエティの代表として、全体の運営および広報活動を統括する。
  1. 委員会構成
  • 入会審査委員会：入会候補者の審査・承認。
  • 倫理・行動委員会：会員の行動・守秘義務違反等に関する審査。
  • イベント・教育委員会：講演会、文化行事、教育プログラムの運営管理。

第4条　会員の行動規範

  1. 会員は、常に卓越・誠実・品位・専門的態度を保持しなければならない。
  2. 守秘義務
  • ソサエティ内で共有された情報、文書、会話はすべて機密とし、許可なく外部に開示してはならない。
  1. 代表権限
  • 理事会の正式な許可なく、ソサエティを代表して発言・発表を行うことはできない。
  1. 服装および礼節
  • ソサエティの名にふさわしい礼儀正しい行動を心掛けること。
  • 公式イベントではフォーマルまたはセミフォーマルな服装を着用する。
  • 会員は可能な限りVertice Society ラペルピンを着用することが望ましい。

第5条　会員特典

  1. 限定イベント（講演会、文化交流、フォーラム等）への参加権。
  2. 以下の英語・専門スキルクラスへの参加：
  • 発音・会話・ディベート・スピーチ・交渉・文化・ビジネス英語など。
  • 授業料は会員専用ページにて提示。
  1. Vertice メソッドによる専門トレーニングへの優先参加。
  2. Vertice International Schoolへの家族・子供の入学優遇。
  3. **国際リトリート（ハワイ・カリフォルニア）**への参加資格。
  4. 新規プロジェクト・出版物・特別講座への優先案内。

第6条　懲戒および退会

  1. 以下の場合、会員は理事会の判断により除名または資格停止となる場合がある。
  • 機密保持違反
  • ソサエティ名義の不正使用
  • 不適切な行動または社会的信用を損なう行為
  • 会費未納
  1. 倫理・行動委員会が調査を行い、理事会に勧告を行う。
  2. 除名された会員は、ソサエティに関する全ての権利・特典を喪失する。

第7条　会合およびイベント

  1. ソサエティは以下の活動を行う。
  • 年次総会（AGM）：日本国内で開催。
  • 四半期ごとの集会：講演会、晩餐会、ネットワーキングなど。
  • 国際リトリート：ハワイおよびカリフォルニアにて実施。
  1. 招待されたゲストのみ特定イベントへの参加を許可する。
  2. 公式行事は**英語および日本語（バイリンガル形式）**で行う。

第8条　個人情報保護

  1. ソサエティは日本および国際基準に準拠した個人情報保護を徹底する。
  2. 会員リスト、連絡先、内部通信情報は外部に共有されない。

第9条　改訂

  1. 本会則の改訂は、理事会の過半数承認をもって行う。
  2. 重要な改訂内容については、会員に書面にて通知する。

第10条　モットーおよびエンブレム

  • ソサエティの公式モットーは 「Veritas per Linguam（言葉を通じて真実を）」。
  • ソサエティの公式エンブレムは、双鳳・開かれた書物・マルーン＆ゴールドの配色を特徴とするVertice Society クレストであり、再生・知識・継承を象徴する。

VERTICE SOCIETY — BYLAWS AND MEMBERSHIP REGULATIONS

(Revised as of November 1, 2025)

Article I – Name and Purpose

  1. The name of the organization shall be Vertice Society (“the Society”).
  2. The Society is a private, invitation-only organization dedicated to:
  • Advancing international communication excellence among Japan’s top professionals.
  • Promoting bilingual mastery through research, education, and mentorship.
  • Preserving cultural sophistication, integrity, and leadership in global dialogue.
  1. The Society operates under the motto “Veritas per Linguam” (Truth Through Language).

Article II – Membership

  1. Eligibility
  • Membership is strictly by invitation or referral.
  • Eligible candidates must meet one or more of the following criteria:
    a. Graduate or current scholar of a top-tier university, including:
  • The University of Tokyo
  • Kyoto University
  • Keio University
  • Waseda University
  • Harvard University, Oxford University, or other globally recognized institutions.
    b. Recognized distinction in their professional field (executives, doctors, scholars, artists, athletes, or legacy business leaders).
    c. Demonstrated contribution to education, culture, philanthropy, or business excellence.
  1. Nomination & Approval
  • Candidates must be nominated by a current member in good standing.
  • Each member may nominate up to two (2) candidates per calendar year.
  • All nominations are reviewed by the Admissions Committee and approved by the Board of Advisors.
  1. Membership Classes
  • Full Member: Individuals meeting all standards of qualification.
  • Honorary Member: Individuals of exceptional global distinction invited by the Board.
  • Associate Member: Members in training from the Scott Perry Academy under evaluation for full status.
  1. Membership Fees
  • Annual Membership Fee: ¥100,000 JPY (may be paid monthly or quarterly).
  • Fees support the Society’s programs, events, and administration.

Article III – Governance

  1. Board of Advisors
  • The Society shall be guided by a Board of Advisors consisting of seven (7) to nine (9) members.
  • The Board provides strategic direction and oversees membership, ethics, and development.
  1. Chairperson
  • The Chairperson serves as the official representative and presides over Society affairs.
  1. Committees
  • Admissions Committee: Oversees candidate selection and approvals.
  • Ethics & Conduct Committee: Handles matters of confidentiality, reputation, and member behavior.
  • Events & Education Committee: Manages programs, lectures, and cultural functions.

Article IV – Member Conduct

  1. Members must uphold the Society’s values of excellence, discretion, integrity, and professionalism.
  2. Confidentiality
  • All discussions, documents, and information shared through the Society are private and may not be disclosed without permission.
  1. Representation
  • Members may not publicly represent or speak on behalf of the Society without written authorization.
  1. Attire & Etiquette
  • Members are expected to maintain proper professional decorum.
  • Formal or semi-formal attire is required at official functions.
  • Members are encouraged to wear the Vertice Society lapel pin during events.

Article V – Privileges of Membership

  1. Access to exclusive Society events, including private symposia, lectures, and cultural gatherings.
  2. Participation in standard language and professional development classes, including:
  • Pronunciation, Conversation, Debate, Speech Making, Negotiation, Culture, and Business English.
  • Tuition for these programs will be displayed to members.
  1. Access to specialized training with Vertice consultants trained under over 40 years of linguistic research.
  2. Enrollment privileges for family members in the Vertice International School.
  3. Invitations to international retreats (including Hawaii and California) for learning, networking, and cultural exchange.
  4. Priority access to new Vertice Society initiatives, publications, and resources.

Article VI – Disciplinary Action and Termination

  1. Members may be reviewed or dismissed for:
  • Breach of confidentiality.
  • Misuse of Society affiliation or title.
  • Unethical behavior or conduct damaging to the Society’s reputation.
  • Non-payment of membership fees.
  1. The Ethics Committee shall investigate and recommend disciplinary action to the Board.
  2. Dismissed members forfeit all privileges and recognition associated with the Vertice Society.

Article VII – Meetings and Events

  1. The Society shall hold:
  • Annual General Meeting (AGM) in Japan.
  • Quarterly gatherings including lectures, dinners, or networking events.
  • International retreats (currently held in Hawaii and California).
  1. Guests may attend select events by invitation only.
  2. All official events are conducted primarily in English and Japanese (bilingual format).

Article VIII – Privacy & Data Protection

  1. The Society adheres to strict privacy and data protection standards in compliance with Japanese and international law.
  2. Membership information, contact details, and internal communications are strictly confidential.

Article IX – Amendments

  1. These bylaws may be amended by a majority vote of the Board of Advisors.
  2. Members will be informed in writing of any major revisions.

Article X – Motto and Emblem

  • The official motto of the Society is “Veritas per Linguam” — Truth Through Language.
  • The official emblem is the Vertice Society Crest, featuring twin phoenixes, an open book, and maroon-and-gold colors symbolizing rebirth, knowledge, and legacy.
